AGREEMENT

This Life Coach Services Agreement (“Agreement”) is entered into between Aloha Healing Arts, LLC (“Coach”) with Aleka Thorvalson, CPC, PCC as a representative of Aloha Healing Arts, LLC providing services to _____________________________ (“Client”). Both parties agree to be bound by the terms and conditions outlined below as evidenced by their signatures to this Agreement: Services Provided: The services being provided by Coach to Client are designed jointly with Client in order to strive for certain life or business goals which shall be set by Client. Coaching may also address specific general conditions in the Client's life or profession. Other coaching services include value clarification, brainstorming, identifying plans of action, examining modes of operation in life, asking clarifying questions, and making empowering requests or suggestions for action. Services shall be provided by face-to-face, virtual or telephonic sessions. Coach and Client shall work together to design a schedule that works best for Client, while considering Coach’s calendar. To the extent reasonably possible, every effort will be made to accommodate Client in their desired session preferences.

FEES

The fees for the services outlined above shall be $225 per session. All payments for each session shall be due and owing at the time of each scheduled or unscheduled session.

APPOINTMENTS

All appointments are to be scheduled with Coach’s office prior to the time for such appointment. Any scheduled appointment must be canceled within 24 hours of such appointment or Coach may charge Client for the full session. More than 24 hours’ notice is encouraged and appreciated. INTELLECTUAL PROPERTY

All materials provided by Coach during the course of coaching sessions, including any written, audio, or video resources, belong to Coach. Coach gives Client a license to use these materials solely for personal use to support Client’s progress and understanding. Client agrees not to share, distribute, or sell any materials without Coach’s permission.

COACHING SERVICES ARE NOT THERAPY

The services provided in accordance with this Agreement are not therapy and are not a substitute for therapy of any kind. These services do not prevent, cure or treat any mental disorder or medical disease. If Coach develops the opinion that a referral may be helpful to Client, a referral to a properly licensed professional will be made to Client for services not provided by Coach. Coach does not endorse any certain professionals and independent investigation should be made after any such referral to determine if the referred professional is appropriate for Client.

CONFIDENTIALITY

This coaching relationship, as well as all information (documented or verbal) that the Client shares with the Coach as part of this relationship, is bound to confidentiality by the ICF Code of Ethics but is not considered a legally confidential relationship (like in medicine or law). The Coach agrees not to disclose any confidential information pertaining to the Client without the Client’s written consent (except as required by mandated reporting rules described below). Confidential information does not include information that: (a) was in the Coach’s possession prior to its being furnished by the Client; (b) is generally known to the public or in the Client’s industry; (c) is obtained by the Coach from a third party, without breach of any obligation to the Client; (d) is independently developed by the Coach without use of or reference to the Client’s confidential information; or (e) that the Coach is required by law to disclose. Coach shall notify client if any such order is received prior to disclosing any information. Client acknowledges that Coach is a mandated reporter. As such, Coach must report or ensure Client self-reports any behavior or potential behavior that poses a risk to themselves or another. The Coach will not disclose the Client’s name as a reference without the Client’s consent. If you wish for me as your Coach to speak to someone outside our sessions, you need to give me written permission (original letter, fax or email) to do so.

LIMITED LIABILITY

EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, COACH MAKES NO GUARANTEES OR WARRANTIES, EXPRESS OR IMPLIED, IN RELATION TO THE SERVICES PROVIDED TO CLIENT PURSUANT TO THIS AGREEMENT. IN NO EVENT WILL COACH BE LIABLE TO CLIENT FOR ACTUAL, PUNITIVE, CONSEQUENTIAL, PUNITIVE OR SPECIAL DAMAGES OF ANY KIND. NOTWITHSTANDING ANY DAMAGES THAT THE CLIENT MAY INCUR, COACH’S ENTIRE LIABILITY UNDER THIS AGREEMENT, AND THE CLIENT’S EXCLUSIVE REMEDY, IF ANY, SHALL BE LIMITED TO THE AMOUNT OF FEES PAID BY CLIENT TO COACH UNDER THIS AGREEMENT FOR ALL SERVICES RENDERED UP UNTIL THE TERMINATION DATE.

TERMINATION

This Agreement may be terminated at any time by Client or Coach, so long as any and all payments owed for any sessions or appointments have been paid in full. Any termination notice shall be provided for in writing.

MISCELLANEOUS

This Agreement shall be interpreted under the laws of the State of South Carolina. The parties agree to Charleston County, South Carolina as the exclusive venue for any legal actions. Should Coach require the use of an attorney for any reason to enforce any provision of this Agreement, Coach shall be entitled to recover all costs and reasonable attorney’s fees in utilizing said attorney. This Agreement may be executed separately by each party and electronic copies shall be enforceable as an original. Both parties shall obtain a signed copy for their records. By signing below Client acknowledges they have read and understood this Agreement.

SIGNATURE OF CLIENT

I have read this Service and Fee Agreement and received a copy. I understand this permission is in effect from the date below until our work is complete or until I withdraw my permission. Further, I understand the information I discuss here and my records are confidential as explained. Your signature also serves as acknowledgement you agree to receive life coaching services from Aleka Thorvalson, CPC, PCC.. By typing your name here you are signing this document.
